These Terms of Use ("Terms") are a legal agreement between you or the entity on whose behalf you are entering into this agreement ("you" or "User"), and LabelYX ("Company", "we", "us" or "our"). These Terms govern your rights and obligations with respect to:

• Uploading and licensing images (if you are a Creator),
• Purchasing licenses to use images (if you are a Buyer),
• Accessing the LabelYX Platform in any capacity.

The Platform is available at app.labelyx.com and related subdomains. By accessing and using the Platform, you expressly represent and acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you are not authorized to access or use the Platform.

Note: Every user can be both a Creator and a Buyer. If you upload images and also purchase images, you are bound by all applicable sections.

2.1 Platform Overview

The LabelYX Platform is a fixed-price, pay-per-use digital image marketplace that facilitates the buying, selling, and licensing of images on the Polygon blockchain. The Platform is a website-hosted user interface that enables interaction with smart contracts for transfer of images and processing of payments in USDC stablecoin.

The Company does not own, control, or operate Polygon, nor can it modify or interfere with blockchain functionality.

2.2 Wallet Connection & Self-Custody

To use the LabelYX Platform, you must use a non-custodial wallet (e.g., Privy, MetaMask). By connecting any wallet, you agree:

• That LabelYX has no custody or control over your wallet contents,
• That LabelYX cannot retrieve, transfer, freeze, or recover wallet contents,
• That you are solely responsible for securing your private keys and credentials.

3.1 Account Requirements

To use the Platform, you must be at least 18 years old, provide accurate information, and not be a Restricted Person.

3.2 Single Account Per Person

You may create only one Creator/Buyer account per natural person. Creating multiple accounts to circumvent limits or avoid fees is strictly prohibited.

3.3 Geographic Restrictions

The Platform is not available to persons residing in sanctioned jurisdictions (e.g., Cuba, Iran, North Korea, Syria) or persons on sanctions lists (OFAC, EU, UN).

3.4 Identity Verification

4.1 Eligible Content

You may upload images that are original works created by you, high-quality, free of infringement, and compliant with laws.

4.3 AI-Generated Images

You must ensure you own rights to the AI output and do not misrepresent the image as human-created photography.

By uploading an image, you warrant that you own the copyright or have the exclusive right to license the image. You warrant that the image does not infringe any third-party rights.

5.3 Exclusive Licensing Option

Creators may optionally list images as "Exclusive to LabelYX," providing higher visibility. Claiming exclusivity when you do not comply results in suspension.

6.1 Model Release Requirements

You must have a valid model release if your image contains an identifiable face or person (unless editorial/crowd scene). LabelYX does not verify releases; you are liable for missing them.

Buyers receive a non-exclusive, worldwide, perpetual license subject to restrictions.

• Standard License: Digital use, print runs < 500k.
• Enhanced License: Unlimited runs, merchandise for resale, commercial wall art.
• Editorial License: Single editorial use (news, documentary). No commercial use.

8.1 Creator Pricing

Creators have full control over pricing and may change it at any time.

8.3 Automatic Payouts

Earnings are automatically transferred to your connected wallet in USDC within seconds of sale. You pay only Polygon network gas fees (~$0.01).

The Company runs AI screening on uploads. We may remove images without notice if they infringe rights or violate terms. You have 30 days to appeal removal decisions via email.

DMCA: We respond to valid DMCA takedown notices. Repeat infringers will be terminated.

Buyers may not: Resell or redistribute the image file itself, falsely claim authorship, or use images in offensive/illegal contexts.

Creators may not: Upload unowned content, create fake accounts to buy own images (wash trading), or use bots to manipulate rankings.

You agree not to engage in IP infringement, cyberattacks, fraud, market manipulation, money laundering, or exploitation of smart contract vulnerabilities.

The Platform and Images are provided "AS IS" without warranties of any kind. The Company does not warrant that images are accurate, legal, or error-free. Creators bear sole liability for their content.

Blockchain transactions are irreversible. The Company cannot reverse or refund transactions. We are not responsible for third-party infrastructure failures (Internet, Polygon network).

You agree to indemnify and hold harmless LabelYX from any claims arising out of your use of the Platform, your violation of these Terms, or your violation of third-party rights.

To the maximum extent permitted by law, the Company shall not be liable for indirect or consequential damages. Total liability is capped at the greater of fees paid for the specific transaction or €250, subject to an aggregate max of €2,500.

Governing Law: Belgium.

These Terms constitute the entire agreement. We may assign these rights. If any provision is invalid, the rest remain in force.
